Terms & Conditions

These Terms & Conditions govern the use of services provided by EVERTRAX ENGINEERING LLP (hereinafter referred to as “the Company”), a Limited Liability Partnership registered in India with GSTIN 07AAIFE4408N1Z7, having its registered office at A-19, Ground Floor, FIEE Complex, Kartar Tower, Okhla Phase II, New Delhi – 110020. By engaging with or availing any of our services, you agree to be bound by the following terms and conditions.

EVERTRAX ENGINEERING LLP reserves the right to amend these Terms & Conditions at any time. The most current version will always be available on our website and will be provided upon request. Continued use of our services after any such modification constitutes your acceptance of the updated terms.

Scope of Services

EVERTRAX ENGINEERING LLP provides industrial engineering services including but not limited to industrial construction, plant installation and commissioning, engineering consultancy, project management, technical support, warranty services, and industrial maintenance. The exact scope, deliverables, timelines, and commercial terms for each engagement are defined in the mutually agreed project contract or work order. No verbal commitment or informal communication shall be deemed binding unless confirmed in writing by an authorised representative of the Company.

Quotations, Proposals & Project Contracts

All quotations, proposals, and techno-commercial offers submitted by EVERTRAX ENGINEERING LLP are valid for a period of 30 days from the date of issuance, unless otherwise specified in writing. Acceptance of a quotation must be communicated in writing and accompanied by a confirmed purchase order or signed contract before any project work commences. The Company reserves the right to revise its proposals in the event of changes in project scope, site conditions, regulatory requirements, or material costs occurring after submission of the initial offer.

EVERTRAX ENGINEERING LLP shall not be liable for any delays or cost escalations arising from inaccurate, incomplete, or misleading information provided by the client. Clients are expected to provide complete and accurate project briefs, site access, and all necessary approvals and permits required for execution of the contracted work. All changes to the agreed scope of work shall be executed through a formal Change Order signed by both parties prior to implementation.

Payment Terms & Invoicing

Payment terms for all projects are defined in the respective project contract or purchase order. Standard terms typically include a mobilisation advance, progress-linked milestone payments, and a retention amount released upon successful project completion and acceptance. All invoices are raised in Indian Rupees (INR) inclusive of applicable GST at the prevailing rate.

Payments must be made within the timelines specified in the contract. The Company reserves the right to charge interest on overdue payments at 18% per annum from the due date. In cases of persistent non-payment, the Company reserves the right to suspend works and initiate appropriate legal proceedings for recovery of dues.

  • Progress-linked milestone payments as per contract schedule
  • Final payment upon completion and acceptance of works
  • Retention release upon defect liability period expiry

Intellectual Property & Confidentiality

All engineering designs, drawings, technical documentation, reports, specifications, and methodologies developed by EVERTRAX ENGINEERING LLP in the course of project execution remain the intellectual property of the Company unless otherwise agreed in the project contract. Clients are granted a non-exclusive licence to use such deliverables solely for the contracted project. Neither party shall disclose the other party’s confidential information to any third party without prior written consent. Confidentiality obligations shall survive the termination of the contract for a period of three (3) years.

Limitation of Liability

To the maximum extent permitted by applicable law, the total liability of EVERTRAX ENGINEERING LLP to any client for any claim shall not exceed the total contract value paid for that specific project. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of production, loss of profit, or business interruption, even if advised of the possibility of such damages. Force majeure events including natural disasters, acts of government, pandemics, or events beyond the reasonable control of either party shall relieve the affected party from its contractual obligations for the duration of the event.

Governing Law & Dispute Resolution

These Terms & Conditions and all project contracts entered into by EVERTRAX ENGINEERING LLP shall be governed by the laws of India. In the event of any dispute, the parties shall first attempt amicable resolution within 30 days. If unresolved, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at New Delhi. The courts of New Delhi shall have exclusive jurisdiction over any legal proceedings.
